شروط وأحكام الخدمة (Terms of Service)

أهلاً بك في منصة Renexa AI. يمثل تثبيتك أو استخدامك لتطبيق Renexa من خلال متجر تطبيقات زد الرسمي موافقة صريحة وكاملة على هذه الشروط والأحكام. إذا كنت لا توافق على هذه الشروط، يُرجى عدم تثبيت التطبيق أو إلغاء تثبيته فوراً من لوحة تحكم متجرك في زد.

1. وصف الخدمة وطبيعة الترخيص

توفر Renexa برمجية سحابية كخدمة (SaaS) متخصصة في أتمتة استرجاع السلات المتروكة، إرسال رسائل التذكير التفاعلية عبر تطبيق WhatsApp، وتقديم تحليلات سلوك المتسوقين لزيادة مبيعات المتاجر الإلكترونية على منصة زد. تمنح المنصة التاجر ترخيصاً غير حصري، وقابلاً للإلغاء، ومحدداً بفترة الاشتراك لاستخدام ميزات التطبيق.

2. التزامات ومسؤوليات التاجر

• صحة البيانات: يقر التاجر بأنه يملك الصلاحية القانونية الكاملة لربط متجره في زد ومشاركة بيانات السلات المتروكة مع التطبيق.
• سياسة الاستخدام المقبول لواتساب: يلتزم التاجر بعدم استخدام قنوات المراسلة لإرسال محتوى احتيالي، أو رسائل سبام مزعجة، أو أي محتوى يخالف الشريعة الإسلامية والأنظمة المعمول بها في المملكة العربية السعودية.
• الامتثال المحلي: يلتزم التاجر باحترام أوقات عدم الإزعاج ومواقيت الصلاة، والتأكد من إمكانية انسحاب المتسوق من الرسائل الترويجية متى ما طلب ذلك.

3. فترة التجربة المجانية والاشتراكات والفوترة

• التجربة المجانية (14 يوماً): يحق لكل متجر جديد تجربة التطبيق بكامل وظائفه لمدة 14 يوماً مجاناً دون أي التزام مالي مسبق.
• الفوترة عبر زد: تتم الفوترة والخصم الشهري/السنوي حصرياً وبشكل رسمي عبر نظام اشتراكات متجر تطبيقات زد (Zid Subscriptions).
• الإلغاء والاسترجاع: يستطيع التاجر إلغاء الاشتراك في أي وقت بنقرة واحدة من لوحة تحكم متجره في زد. عند الإلغاء، يظل الحساب فعالاً حتى نهاية دورة الفوترة المدفوعة ولا تطبق رسوم إلغاء إضافية.

4. حدود المسؤولية (Limitation of Liability)

تبذل Renexa أقصى جهد هندسي لضمان أعلى معدل تسليم للرسائل واستعادة المبيعات. ومع ذلك:

• المنصة لا تضمن شراء العميل النهائي للمنتجات المتروكة، حيث يخضع قرار الشراء لعوامل خاصة بالمتجر كالسعر وجودة المنتج وتكلفة الشحن.
• لا تتحمل المنصة المسؤولية عن أي انقطاع مؤقت ناجم عن أعطال خارجية لدى مزودي خدمات الاتصال (مثل شركة ميتا/واتساب أو منصة زد المركزية).

5. حقوق الملكية الفكرية

جميع حقوق الملكية الفكرية، بما في ذلك الأكواد البرمجية، محركات الذكاء الاصطناعي، العلامات التجارية، والتصاميم الخاصة بـ Renexa، هي ملك حصري ومحمي لمنصة Renexa AI. لا يجوز للتاجر محاولة الهندسة العكسية للتطبيق أو استخراج الكود المصدري.

6. القانون الحاكم وفض النزاعات

تخضع هذه الشروط والأحكام وتُفسر وفقاً لأنظمة وقوانين المملكة العربية السعودية، وخاصة نظام التجارة الإلكترونية ونظام المعاملات الإلكترونية. ويختص القضاء التجاري السعودي بالنظر في أي نزاع قد ينشأ عن تفسير هذه الاتفاقية.

Terms of Service (ToS)

Welcome to Renexa AI. By installing, connecting, or using the Renexa application via the official Zid App Market, you acknowledge and agree to be legally bound by these Terms of Service. If you do not agree to these terms, please refrain from installing the application or uninstall it immediately from your Zid merchant dashboard.

1. Service Description & License Grant

Renexa AI provides a cloud-based Software-as-a-Service (SaaS) platform specializing in automated abandoned cart recovery, WhatsApp conversational engagement, and behavioral purchase analytics for merchants hosted on the Zid platform. We grant you a limited, non-exclusive, revocable, non-transferable subscription license to use the app features during your active billing period.

2. Merchant Obligations & Acceptable Use

• Authority & Accuracy: You represent and warrant that you hold full legal authority to bind your Zid store and ingest abandoned checkout leads.
• WhatsApp Policy Compliance: You agree not to transmit spam, unsolicited mass advertising, deceptive content, or materials violating applicable Saudi Arabian laws and e-commerce standards.
• Consumer Respect: You agree to honor customer opt-out requests and adhere to local respectful dispatch windows (e.g. prayer times).

3. Free Trial, Subscriptions & Billing

• 14-Day Free Trial: All eligible new stores receive a 14-day zero-risk trial with access to all core features.
• Billing through Zid: Subscriptions are billed and managed natively and securely through the official Zid App Market Billing Engine.
• Cancellation: You may cancel your subscription at any moment directly from your Zid admin console without cancellation fees. Access persists until the conclusion of the active paid billing cycle.

4. Limitation of Liability

While Renexa deploys enterprise-grade heuristics and delivery pipelines to optimize conversions:

• We do not guarantee a definitive recovery quota, as conversion remains contingent upon merchant pricing, product availability, and shipping terms.
• We are not liable for temporary service interruptions caused by upstream third-party service outages (e.g. Meta WhatsApp network or Zid infrastructure updates).

5. Intellectual Property

All intellectual property rights, proprietary algorithms, predictive engines, and visual interfaces associated with Renexa are the exclusive property of Renexa AI. Reverse engineering, decompiling, or unauthorized reproduction is strictly prohibited.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia, particularly the Saudi E-Commerce Law. The competent commercial courts of Saudi Arabia shall possess exclusive jurisdiction over any disputes arising hereunder.
